Terms of Service
Effective Date: Last Updated:
1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the website at truzzup.com (the “Site”) and any services offered by Truzzup LLC, a New Mexico limited liability company (“Truzzup,” “we,” “us,” or “our”). By using the Site, requesting a quote, or purchasing any of our services (the “Services”), you (“Client” or “you”) agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Site or the Services.
These Terms, together with our Privacy Policy and our Refund Policy, form the complete agreement between you and Truzzup. Any additional written agreement signed by both parties for a specific engagement supersedes conflicting provisions in these Terms only as to that engagement.
2. Description of Services
Truzzup provides done-for-you business launch and online presence services. Depending on the package, subscription plan, or add-on you purchase, this may include website design and development, branding, copywriting, social media setup, business directory listings, search engine optimization, paid advertising management, and related deliverables.
The specific scope of any engagement is defined by the package, subscription plan, or add-on you purchase, as described on the Site or as agreed in writing.
3. Eligibility and Authority
To use the Services, you must be at least 18 years old and legally capable of entering into a binding contract. If you are purchasing the Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Communication
All communication between Truzzup and the Client is conducted asynchronously through email, messaging applications, and the chat features of the Site. We do not provide live phone or video meetings as part of the standard Services. The Client is responsible for monitoring the communication channel agreed at project start and for responding to requests for input within a reasonable time.
5. Fees and Payment
5.1 Prices for our packages, subscription plans, and add-ons are listed on the Site or agreed in writing. Unless otherwise stated, all prices are in US dollars and are exclusive of applicable taxes, which the Client is responsible for paying.
5.2 Payment is processed through a third-party payment processor. By providing payment information, you authorize us and our payment processor to charge the agreed amounts. We do not store full payment card numbers on our servers.
5.3 One-time packages are payable in full before work begins, unless we agree in writing to a different payment schedule.
5.4 If a payment fails or is overdue, we may suspend or terminate the Services until payment is received. Repeated payment failures may result in termination and forfeiture of any work-in-progress fees.
6. Subscriptions
6.1 Subscription plans are billed monthly in advance on the day of initial signup and on the same day each subsequent month.
6.2 Subscriptions automatically renew each month until cancelled. You may cancel at any time by contacting us through any agreed communication channel.
6.3 Cancellation takes effect at the end of the current billing period. No partial-month refunds are issued for the current period.
6.4 We may change subscription pricing with at least thirty (30) days’ notice. If you do not agree to a price change, you may cancel before the new price takes effect.
7. Project Timeline and Client Responsibilities
7.1 For one-time packages, we aim to deliver the agreed scope within fourteen (14) business days of receiving all required Client materials, content, credentials, and approvals. This timeline is an estimate and depends on Client responsiveness.
7.2 The Client is responsible for providing accurate and complete materials needed to deliver the Services, including business information, branding preferences, content, images, and access to any third-party accounts required. Delays in providing these materials will extend the delivery timeline accordingly.
7.3 We will request the Client’s review and approval at agreed checkpoints. If the Client does not respond to a request for review within fourteen (14) days, we may proceed based on our best interpretation of the brief or pause the project until the Client responds.
7.4 If a project is inactive due to Client non-response for more than sixty (60) days, we may consider the project complete or terminated, and no refund will be issued for work already performed.
8. Revisions and Scope Changes
8.1 Each deliverable includes a reasonable number of revision rounds within the original scope, as described in the package or agreed in writing. Additional revision rounds or changes outside the original scope are billed separately at our then-current rates.
8.2 Any request that changes the agreed scope (for example, adding pages, features, or deliverables not in the original package) constitutes a scope change. We will provide a written estimate, and work on the change will begin only after the Client approves the estimate and any additional fees are paid.
9. Intellectual Property
9.1 Upon full payment for the applicable package or deliverable, Truzzup assigns to the Client all right, title, and interest in the custom deliverables created specifically for the Client, such as the website design, brand assets, and written content. This assignment does not include any pre-existing materials or third-party assets used to produce the deliverables.
9.2 Any pre-existing materials, frameworks, templates, plugins, fonts, stock photography, or third-party software used in the deliverables remain the property of their respective owners and are made available to the Client under the licenses of those owners.
9.3 Unless agreed in writing otherwise, Truzzup may display the deliverables and reference the Client’s business name and logo in its portfolio, marketing materials, and case studies after the deliverable is publicly launched.
9.4 Trademark registration services, if purchased as an add-on, are facilitated through third-party providers. Ownership of any trademark applied for belongs to the Client. Truzzup makes no warranties regarding the success or outcome of trademark registration.
10. Login Credentials and Third-Party Accounts
10.1 During the project, the Client may need to share login credentials for third-party accounts, including but not limited to domain registrars, hosting providers, social media accounts, and business profile platforms. The Client is responsible for the security of any credentials provided and for revoking or changing them after project completion if desired.
10.2 Truzzup handles credentials with reasonable care during the project but is not liable for any unauthorized access, loss, or damage to Client accounts unless caused by Truzzup’s willful misconduct or gross negligence.
11. Third-Party Costs and Services
11.1 The Services may require the Client to purchase third-party products or services, including but not limited to domain registration, web hosting, premium plugins or themes, business directory listings, and paid advertising spend. These costs are paid directly by the Client and are not included in the Truzzup package fee unless explicitly stated.
11.2 Truzzup does not control and is not responsible for the availability, content, pricing, policies, or performance of any third-party product or service.
12. Refunds and Cancellation
Refunds, cancellations, and chargebacks are governed by our separate Refund Policy, available on the Site. By purchasing the Services, the Client agrees to the terms of that Refund Policy.
To cancel a subscription or terminate an engagement, contact us at hello [at] truzzup [dot] com or through any other agreed communication channel.
13. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, including business plans, financial information, customer data, and login credentials. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
14. Warranties and Disclaimers
14.1 Truzzup warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards.
14.2 EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES AND ALL DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.
14.3 We do not guarantee specific business outcomes, search engine rankings, advertising performance, sales results, traffic volume, or any other commercial metric. Online business results depend on many factors outside our control.
15. Limitation of Liability
15.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRUZZUP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT THE CLIENT PAID TO TRUZZUP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
The Client agrees to indemnify, defend, and hold harmless Truzzup, its officers, members, employees, and contractors from and against any third-party claim, loss, damage, liability, or expense (including reasonable attorneys’ fees) arising out of (a) any content, materials, or credentials the Client provides; (b) the Client’s use of the Services in violation of these Terms or applicable law; or (c) the Client’s violation of any third-party right.
17. Termination
17.1 The Client may cancel a subscription as described in Section 6. Termination of a one-time package engagement is governed by the Refund Policy.
17.2 Truzzup may suspend or terminate the Services and the Client’s access to the Site at any time, with or without notice, if the Client (a) breaches these Terms; (b) fails to pay fees when due; (c) provides false or misleading information; (d) requests services that violate applicable law or third-party terms; or (e) engages in abusive, harassing, or unlawful conduct toward our team.
17.3 Upon termination, all fees due remain payable. Provisions of these Terms that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification) will survive.
18. Governing Law and Dispute Resolution
18.1 These Terms are governed by and construed under the laws of the State of New Mexico, USA, without regard to its conflict of laws principles.
18.2 Before filing any formal claim, the parties agree to attempt in good faith to resolve any dispute by written notice and discussion for at least thirty (30) days.
18.3 Any dispute not resolved informally will be submitted exclusively to the state or federal courts located in New Mexico, USA. Each party consents to the personal jurisdiction of those courts.
18.4 The Client and Truzzup each agree to bring claims only in their individual capacity, and not as a plaintiff or class member in any purported class or representative action.
19. Force Majeure
Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government actions, pandemics, internet or telecommunications failures, cyberattacks, or third-party platform outages.
20. General Provisions
20.1 Truzzup is an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between the parties.
20.2 The Client may not assign or transfer any rights or obligations under these Terms without our prior written consent. Truzzup may assign these Terms in connection with a merger, acquisition, or sale of assets.
20.3 Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
20.4 If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
20.5 These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between the Client and Truzzup regarding the Services and supersede all prior agreements, except for any written engagement-specific agreement signed by both parties.
21. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date at the top of these Terms and, when appropriate, notify the Client by email or through a notice on the Site. Continued use of the Site or Services after changes become effective constitutes acceptance of the updated Terms.
